Gratelle Partner Program Terms
Gratelle Partner Program Terms and Conditions Last updated: October 2026 · Version 2026-10
These Terms govern your participation in the Gratelle Partner Program (the "Program"), operated by Ownday Solutions Inc., a Florida corporation, USA ("Gratelle", "we", "us"). By submitting your application and accepting these Terms, you enter into an agreement with Gratelle (the "Agreement"). If you act on behalf of an organization, you represent that you have authority to bind it.
1. Definitions
- Partner: a person or organization approved to participate in the Program.
- Partner link or code: the unique identifier Gratelle assigns to each Partner.
- Referral: a user who creates a Gratelle account through your link or code.
- Active referral: a Referral who, on the last day of a calendar month, has finished their free trial and has a paid, active subscription in good standing.
- Net revenue: the amount Gratelle actually receives for a subscription payment, after the app store or payment processor fee. It excludes taxes charged to the user.
- Commission: a payment to the Partner calculated under section 5.
2. Eligibility and approval
2.1. Individuals aged 18 or older and legally organized entities may apply, including coaches, therapists and psychologists, creators and instructors, coaching schools and academies, organizations and wellness centers.
2.2. We review every application and usually reply within 24 hours. We may approve or reject any application at our discretion, without having to give a reason.
2.3. You must give us accurate information and keep it up to date.
2.4. Schools and organizations may sign additional agreements with their own terms. Where an additional agreement exists, it prevails over these Terms on anything it governs differently.
3. Price for users
3.1. All Gratelle users pay the same price, whether or not they come through a Partner. Your link or code attributes the Referral to you and does not grant any discount. You may not offer or promise discounts, refunds or terms other than those published by Gratelle.
3.2. Gratelle sets and may change its prices, plans and trial period at any time.
4. Attribution
4.1. A Referral is attributed to you when they create their account through your link or enter your code at signup. If a user uses several codes, the first valid one recorded on their account counts.
4.2. Attribution lasts while the Referral's subscription remains active. The Referral may unlink you in their account settings; from then on that subscription no longer earns Commissions.
4.3. The following are not attributed: your own account, or those of your employees or associates when used to generate Commissions; accounts created without the user's consent; fake or duplicate accounts; and users who already had a Gratelle account before using your link or code.
4.4. Gratelle's records are the source for determining attributions, Active referrals and Commissions.
5. Commissions
5.1. Tiers. At the close of each calendar month we count your Active referrals:
| Active referrals | Commission |
|---|---|
| 1 to 10 | 10% of Net revenue |
| 11 or more | 20% of Net revenue |
The resulting rate applies to all eligible payments from your Referrals in that month. If you have 10 or fewer Active referrals the following month, the 10% rate applies again.
5.2. Base. Commission is calculated on Net revenue, never on the gross price.
5.3. Recurring. You earn Commission every month while the Referral's subscription stays active and attributed to you, unless the Agreement ends.
5.4. Annual plan. Net revenue from an annual payment is divided into 12 equal parts. Each month of the paid year generates a Commission on one of those parts, at the rate that applies that month. During that year, the subscription counts as one Active referral. If the annual payment is refunded or disputed, the remaining parts are cancelled.
5.5. No Commission for: free-trial periods; refunded, disputed or reversed payments; unlinked subscriptions; payments obtained through fraud or breach of these Terms; and Partners who chose to participate without commission.
5.6. Participating without commission. You may choose to participate without receiving Commissions, for example if your professional code requires it. Your Referrals are still attributed to you, but no Commissions are generated while that option is on. You may change it in writing; the change applies from the following month and is not retroactive.
5.7. Adjustments. If a Commission already paid relates to a payment that is later refunded or disputed, we may deduct it from your future Commissions.
6. Payouts
6.1. Payout method by country. If your bank account is in the United States, Canada, the United Kingdom, Switzerland or a European Economic Area country, we pay you through Stripe Connect. In any other country we pay you directly by bank transfer, Wise or PayPal, as agreed with you. We may change this list.
6.2. Stripe account. If we pay you through Stripe Connect, to get paid you must create a Stripe payout account through the link we send you and accept the Stripe Connected Account Agreement. Stripe collects and stores your identity, bank and tax information; Gratelle does not store it.
6.3. Schedule and minimum. Each month's Commissions are paid the following month, after the refund period ends, provided your accumulated balance is at least US$100 and your Stripe account is enabled for payouts or, for direct payouts, we have your signed W-8BEN and payment details. If it is lower, the balance carries over to the next month.
6.4. Currency. Commissions are calculated in US dollars (US$). For Stripe payouts, the money reaches your bank in your local currency. For direct payouts, we send the amount in US$ or its equivalent through the agreed method. Currency conversion, bank or receiving-side payment service fees are your responsibility.
6.5. Tax information. You must provide Form W-9 if you are a US person or entity, or Form W-8BEN / W-8BEN-E if you are not, and keep it up to date. If you are paid through Stripe, you complete it in Stripe; for direct payouts, you send us the signed form. We may hold payouts until we have all required information. Where required by law, we will issue tax forms such as Form 1099-NEC through Stripe.
6.6. You are responsible for reporting and paying any taxes on your Commissions.
7. Transparency and disclosure
7.1. Every time you recommend Gratelle, you must clearly and conspicuously disclose that you receive a commission on subscriptions from people who come through you. This applies to sessions, posts, videos, emails, messages and any other medium. Example: "I earn a commission if you subscribe to Gratelle with my link."
7.2. The disclosure must sit next to the recommendation, in the same language and before the link or code, not only in your profile or on a separate page.
7.3. This obligation follows the US Federal Trade Commission (FTC) Guides Concerning Endorsements and Testimonials and also applies under any similar rules in your country.
8. How you may promote Gratelle
8.1. Allowed: recommending Gratelle to your clients, students and community; using your link and code; using the approved materials in Gratelle's kit; sharing your real experience with the app.
8.2. Not allowed:
- Stating or implying that Gratelle diagnoses, treats, cures or prevents any physical or mental health condition, or that it replaces therapy or medical care.
- Making up testimonials, results, figures or features.
- Offering discounts, refunds, prizes or incentives not authorized by Gratelle.
- Sending spam or unsolicited messages in breach of laws such as CAN-SPAM or the TCPA in the US, or their equivalents in your country.
- Bidding on "Gratelle" or variations of the brand in search ads, or registering domains, accounts or profiles using the brand.
- Presenting yourself as an employee, representative or agent of Gratelle.
- Posting your link or code on coupon or discount sites.
- Asking a user for their login credentials or using their account.
8.3. We may ask you to remove or correct any content that breaches these Terms.
9. Licensed professionals
9.1. If you are a therapist, psychologist or other licensed professional, you are responsible for complying with the rules of your profession and jurisdiction, including rules on receiving payment for recommending products. If those rules do not allow you to receive commissions, use the option in section 5.6.
9.2. Gratelle is a personal wellbeing tool. You must not present it as part of clinical treatment or recommend it as a substitute for professional care.
10. Referral privacy
10.1. You will never have access to the content your Referrals write in Gratelle.
10.2. You will only see a Referral's activity (for example, whether they do their check-ins) if that Referral gives you express permission, which they may withdraw at any time.
10.3. Information you see in your dashboard may only be used to support your clients or manage your participation in the Program. You may not sell it, share it or use it for other purposes.
10.4. We process your data as a Partner under our Privacy Policy.
11. Brand and materials
11.1. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Gratelle name and logo and the kit materials, only to promote Gratelle under these Terms.
11.2. You may not alter the logo or materials in a way that changes their meaning. When the Agreement ends, you must stop using them.
12. Relationship of the parties
You are an independent contractor. This Agreement does not create an employment relationship, partnership, franchise, joint venture or agency. You may not bind Gratelle to third parties.
13. Changes to the Terms and the Program
We may change these Terms, the rates, the tiers or the Program. We will email you at least 30 days in advance of any change that reduces your Commissions. If you keep participating after the effective date, you accept the changes. If you disagree, you may end the Agreement.
14. Term and termination
14.1. The Agreement starts when we approve your application and continues until either party ends it.
14.2. You may end it at any time by writing to us. We may end it with 30 days' notice, or immediately if you breach these Terms, if there is reasonable suspicion of fraud, or if the law requires it.
14.3. When the Agreement ends, you stop earning Commissions. If termination is not due to breach or fraud, we will pay Commissions earned up to the termination date in the next payout cycle, even if they are below US$100, provided we have your complete payment and tax information.
15. Disclaimers
The Program and the app are provided "as is". We do not guarantee any level of earnings, or that the app will work without interruption. The calculator on the Partners page is an illustrative estimate.
16. Limitation of liability
To the extent permitted by law, Gratelle is not liable for indirect, incidental, special or consequential damages, or lost profits. Our total liability to you will not exceed the Commissions we paid you in the 12 months before the event giving rise to the claim.
17. Indemnification
You agree to indemnify Gratelle against third-party claims arising from your breach of these Terms, of the law or of the rules of your profession, or from statements you make about Gratelle.
18. Confidentiality
Non-public information you receive from Gratelle (such as Program figures or product plans) is confidential and may only be used to participate in the Program.
19. Governing law and disputes
This Agreement is governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. The parties will try to resolve any dispute in good faith for 30 days. If it is not resolved, it will be submitted to the competent courts of the State of Florida.
